Wellness Center USA, Inc., a Schaumburg, IL-based healthcare and nutraceutical company, has signed a share exchange agreement to acquire Psoria-Shield, Inc., a Tampa, FL-based developer and manufacturer of ultraviolet phototherapy devices for skin diseases, including psoriasis, eczema, alopecia areata, vitiligo and more.
Wellness Center USA, Inc., is a newly formed business created to address healthcare and wellness needs with “breakthrough solutions” that focus on “the well-being of body and mind,” according to a press release about the acquisition. The company’s first business unit is an online marketplace for vitamins and minerals that are amino acid-based and available to the public; the web address for this unit is www.aminofactory.com. Wellness Center USA’s second business unit, CNS Wellness, is a cognitive science clinic business that specializes in the treatment of behavioral health disorders in several focus areas: stress-related disorders, development and learning disorders and disorders that are strictly brain-based.
Psoria-Shield will be the company’s third business unit. Psoria-Light, an FDA-cleared, patent-pending product from Psoria-Shield, is a deep UV LED targeted phototherapy device for the treatment of skin diseases that respond to UV light therapy. This is Psoria-Shield’s flagship product; it is CE marked as well as FDA approved. According to a press release on the acquisition, Psoria-Shield also includes more than 40 FDA-cleared, CE marked, ISO manufactured Class II medical devices.
